Terms and Conditions

Welcome to ReShare. These Terms and Conditions define the rights and obligations relating to your use of the platform. Please read them carefully before creating an account or using any ReShare service. By using the platform, you agree to be bound by these Terms and Conditions.

• ReShare is a digital B2B matchmaking platform that connects businesses seeking space, services, or capacity with businesses offering them across multiple categories: Real Estate Assets, Smart Lockers, Vending Machines, Flowers & Gifts, Logistics Services, and Restaurants & Kitchens. ReShare is not a party to any commercial agreement or partnership concluded between users.
• ReShare does not own or operate any space, locker network, vending machine, logistics fleet, or kitchen listed on the platform and is not responsible for their operation or management.
• ReShare does not manage day-to-day operations between matched parties. Operations are governed solely by the agreement concluded between the two contracting parties.
• ReShare's role is limited to generating match suggestions, reviewing them, and facilitating the conclusion of agreements. ReShare does not impose the terms of partnerships concluded between users.
• Full responsibility for compliance with regulatory requirements, operational matters, and the execution of concluded agreements rests entirely with the contracting parties.

To use ReShare, you confirm that:

• You are 18 years of age or older.
• You hold a valid Commercial Registration in the Kingdom of Saudi Arabia, or you have authority to represent a legal entity holding such registration.
• The information you provide is complete, accurate, and truthful.
• Your account has not previously been deactivated for violating ReShare's Terms and Conditions.
• You have the legal authority to agree to these Terms and to act on behalf of your business entity.

ReShare reserves the right to verify user identity and eligibility at any time, and may reject any registration or terminate any account without prior notice if a violation is suspected.

• A valid Saudi phone number must be used to create an account. A One-Time Password (OTP) will be sent via SMS for verification.
• You are responsible for maintaining the confidentiality of your account access.
• Sharing account access with any third party is strictly prohibited.
• If you suspect your account has been compromised, notify ReShare immediately at info@reshare.sa.
• ReShare is not liable for any losses arising from unauthorised access resulting from negligence in protecting your account.
• By registering, you consent to the collection and processing of your data in accordance with the Privacy Policy.

By registering on ReShare, you agree to:

• Provide accurate and truthful information in your profile and all posts.
• Not use the platform for fraudulent or unlawful purposes.
• Respect the intellectual property rights of other users and ReShare.
• Not contact other users directly without authorisation through the platform.
• If a match with another party occurs through the use of the platform but without following the procedures prescribed by ReShare, the platform is entitled to 12% of the resulting transaction value.
• Report any attempt by another party to contact you outside the official platform channels.

When submitting or approving a match request, you acknowledge that:

• Your business is able to obtain all licences and permits necessary to carry out the relevant commercial activity.
• Your business is prepared to comply with all applicable regulations following the signing of an agreement with the other party.
• You are willing to grant ReShare a platform fee not exceeding 6% of transaction value in consideration of the services performed.

• The platform generates match suggestions based on an algorithm analysing city and compatibility criteria.
• All match suggestions are subject to manual review by the ReShare team before being presented to the parties.
• ReShare does not guarantee a match for any user; matches are contingent on suitable counterparts being available.
• Upon both parties approving a match, ReShare prepares a draft agreement for review and signing. This contract is legally binding between the two parties only upon their signing — ReShare bears no responsibility for the provisions contained therein.
• Signed contracts are the full responsibility of the contracting parties. ReShare is not a party to them.

By using the platform and concluding agreements through it, you acknowledge that:

• You have examined the match opportunity and any contract with full knowledge and no ambiguity.
• ReShare is not liable for any commercial, operational, or financial losses arising from use of the platform or from partnerships concluded through it.
• ReShare does not bear responsibility for the inaccuracy of information provided by users.
• ReShare is not liable for any regulatory or legal violations committed by users.
• ReShare does not guarantee uninterrupted service; the service may be temporarily suspended for maintenance.
• ReShare is not responsible for any unlicensed commercial activity; full responsibility rests with the contracting parties.

ReShare reserves the right to amend these Terms without prior notice. Continued use of the platform constitutes acceptance of any amendments.
