Terms and Conditions

Welcome to ReShare. These Terms and Conditions define the rights and obligations relating to your use of the platform. Please read these terms carefully before creating an account or using any ReShare service. By using the platform, you agree to these Terms and Conditions and are bound by them.

• ReShare is a digital intermediary platform that connects food brand owners with host restaurants that have surplus kitchen space. ReShare is not a party to any commercial agreement or partnership concluded between users.
• ReShare does not own any kitchens or production facilities listed on the platform and is not responsible for their operation or management.
• ReShare does not manage day-to-day operations; daily operations are managed by the host restaurant and the brand owner in accordance with their mutual agreement. The platform does not dictate the terms of partnerships concluded between them.
• ReShare's role is limited to generating match suggestions, reviewing them, and facilitating the conclusion of agreements by preparing contract drafts in accordance with what the two parties agree upon, culminating in the signing of a partnership agreement between them.
• Full responsibility for compliance with regulatory and statutory requirements, operational matters, and the signing and execution of concluded agreements rests entirely with the contracting parties.

To use the ReShare platform, you confirm that the following conditions apply to you:

• You are 18 years of age or older.
• You hold a valid Commercial Registration in the Kingdom of Saudi Arabia, or you have the authority to represent a legal entity that holds a valid Commercial Registration in the Kingdom of Saudi Arabia.
• The information you provide is complete, accurate, and truthful.
• Your account has not previously been deactivated for violating ReShare's Terms and Conditions.
• You have the legal authority to agree to these Terms and Conditions and to act on behalf of your business entity.

ReShare reserves the right to verify the identity and eligibility of users at any time, and has the right to reject any registration request or terminate any account —without prior notice— if a violation is suspected.

• A valid and active email address must be used to create an account, and a One-Time Password (OTP) will be sent for confirmation.
• You are responsible for maintaining the confidentiality of your login credentials (email address and password).
• Sharing login credentials with any third party is strictly prohibited.
• If you suspect that your account has been compromised, you must notify ReShare immediately at [email protected].
• ReShare is not liable for any losses arising from unauthorised access resulting from negligence in protecting login credentials.
• By registering on the ReShare platform, you consent to the collection and processing of your data in accordance with the Privacy Policy & Data Protection.

By registering on ReShare, you agree to:

• Provide accurate and truthful information in your profile and all submitted data.
• Not use the platform for fraudulent or unlawful purposes.
• Respect the intellectual property rights of other users and ReShare.
• Not contact other users directly without authorisation from the platform.

• If a match with another party occurs through the use of the platform without following the procedures prescribed by the platform, the platform is entitled to 12% of sales.
• Platform users are obliged to report any attempt to contact them through channels other than those officially approved by the platform.

When submitting a match request or before approving an incoming match request, you acknowledge the following:

• Your business is able to obtain all licences and permits necessary to carry out the commercial activity.
• Your business is prepared to comply with all relevant regulations and rules relating to food service following the signing of the agreement with the other party.
• You are willing to grant the ReShare platform a share of sales not exceeding 6% in consideration of the work it performs.

By signing any agreement through the platform, you acknowledge the following:

• Your business has obtained all licences and permits necessary to carry out the commercial activity.
• Your business complies with all relevant regulations and rules relating to food service.
• You will grant the ReShare platform 6% of sales in consideration of the work it has performed, unless a different percentage is agreed with the platform under a written and signed agreement with the platform.

• The platform generates match suggestions based on an algorithm that analyses city, district, and equipment compatibility.
• All match suggestions are subject to manual review by the ReShare team before being sent to the parties.
• ReShare does not guarantee a match for any user; matches are contingent on suitable users being available in the target area.
• When both parties approve a match, ReShare prepares a proposed contract draft for them to sign. This contract is legally binding between the two parties only upon their signing, and ReShare bears no responsibility for the provisions contained therein, as it is prepared in accordance with what the two parties agree upon.
• Signed contracts are the full responsibility of the contracting parties; ReShare is not a party to them.

By using the platform and signing a contract with another party through it, you acknowledge the following:

• You have examined the match opportunity and the contract with full knowledge and no ambiguity.
• ReShare is not liable for any commercial, operational, or financial losses arising from the use of the platform or from partnerships concluded through it.
• ReShare does not bear responsibility for the inaccuracy of information provided by users.
• ReShare is not liable for any regulatory or legal violations committed by users.
• ReShare does not guarantee uninterrupted service; the service may be temporarily suspended for maintenance.
• ReShare is not responsible for the conduct of any commercial activity without a licence, and full responsibility rests with both contracting parties — the host restaurant owner and the brand owner.
• ReShare is not a party to the contract signed between the host restaurant owner and the brand owner through the platform, and the platform is entitled to its share of sales based on the work it carried out prior to the agreement between them, in accordance with these Terms and Conditions.

ReShare has the right to amend these Terms and Conditions without prior notice, and continued use of the platform constitutes acceptance of those amendments.
